What does Oregon Benefit Company mean?

QConsul LLC is an Oregon Benefit Company: a for-profit business organized to create a general public benefit in addition to pursuing profit. Why does it matter?

Benefit Company status makes public-benefit accountability and transparency part of the company’s operating commitments: QConsul must assess and report on its social and environmental performance, the public benefit it provided, and any circumstances that hindered that benefit. ORS 60.768

What is required?

Each year, QConsul must select and use a qualifying independent third-party standard, prepare and publicly post an annual benefit report, and deliver it to equity holders; external certification or audit by a third-party certifier is optional, not required by Oregon. What does QConsul mean by pro bono?

Pro bono service is direct, traceable, no-cost support provided to an identified charitable beneficiary, typically a verified 501(c)(3) nonprofit.

Pro bono support does not include unpaid training or consulting for a for-profit intermediary, unpaid development of a commercial service, or permission to reuse QConsul materials, methods, templates, or deliverables in a commercial offering.

Any commercial use of QConsul materials or services requires a separate written agreement.
